The undersigned (Customer) accepts the following terms of sale:

1. The Customer accepts responsibility for the product under the terms of negotiation of FOB Quito, unless otherwise stated on the invoice. Deliveries can be agreed under alternative modalities such as CIF or door-to-door service, as expressly indicated in the corresponding invoice.

2. SoBella reserves the right to grant credit terms at its sole discretion, based on the quality and reliability of the commercial references provided by the Client. Depending on this evaluation, SoBella may establish a specific payment period or require payment in advance. All invoices must be paid in accordance with the terms granted, unless otherwise agreed in writing.

3. Credit claims must be submitted within seven (7) days from the date of the invoice. Supporting evidence, including product images and label/barcode information, should accompany the claim for review.

4. The Customer will reimburse SoBella for any bank fees or charges related to payment rejections.

5. The Customer agrees that any billing dispute will be resolved under the jurisdiction of the state of Florida, United States.

6. The Client agrees to pay any expenses incurred by SoBella by collecting unpaid debts, including legal fees, collection agent fees and court costs.

7. By signing below, the Client authorizes SoBella to periodically obtain credit reports in order to establish, investigate or maintain a credit relationship.

8. SoBella and the Client agree to maintain the confidentiality of all commercial, financial and technical information exchanged within the framework of their business relationship, in compliance with the data protection laws applicable in the United States, Ecuador and the European Union (GDPR).

Notwithstanding the foregoing, the Client expressly authorizes SoBella to disclose information related to non-payment, outstanding invoices or breaches of financial obligations to credit reporting agencies, financial institutions and other businesses within the flower sector, with the sole purpose of protecting legitimate commercial interests and preventing fraud.

Such disclosures will be limited to the information strictly necessary to identify the Customer and the nature of the breach, and will be made in accordance with the applicable legal requirements.
